PART 1: CONFIDENTIALITY POLICY

THCLI is committed to protecting the confidentiality of Client information and Client’s organizational data. This section describes THCLI’s confidentiality practices.

1.1 THCLI’s Commitment to Confidentiality

  • Client’s organizational structure, strategy, and business operations
  • Client’s financial performance and proprietary data
  • Client’s personnel information and organizational dynamics
  • Client’s competitive position and market intelligence
  • Any other information Client shares during the engagement
  • Client’s identity and the fact that Client works with THCLI (unless Client authorizes disclosure)

Confidentiality survives termination of the engagement and continues indefinitely for Client information designated as confidential.

1.2 Limited Disclosure

  • Team members and contractors: Individuals working directly on Client’s engagement who have a legitimate need-to-know
  • Legal/compliance requirements: If legally required by subpoena, court order, or regulatory demand (see Section 1.5)
  • With Client’s consent: Only when Client explicitly authorizes disclosure to third parties
All THCLI team members and contractors sign confidentiality agreements requiring them to protect Client information.

1.3 General References to THCLI’s Work

  • “A Fortune 500 technology company we advised on organizational structure”
  • “A regional healthcare organization navigating leadership succession”
  • Case studies or testimonials (only with Client’s explicit written consent and approval of content)

Client may opt-out of any general reference by requesting in writing.

1.4 Protection of THCLI’s Proprietary Methods

  • THCLI’s diagnostic assessment tools
  • THCLI’s Organizational Intelligence™
  • THCLI’s coaching and advisory methodologies
  • Dr. Salman’s proprietary techniques and frameworks
  • Any training materials, templates, or resources provided

Client shall not: (1) Disclose THCLI’s methods to third parties without written permission; (2) Use THCLI’s proprietary frameworks to compete with THCLI; (3) Teach or license THCLI’s methodologies to external clients or organizations; or (4) Reverse-engineer or attempt to replicate THCLI’s systems.

1.5 Legally Compelled Disclosures

THCLI may seek legal remedies to challenge or limit any disclosure, and Client is responsible for paying THCLI’s legal fees incurred in defending against or challenging legally compelled disclosures.

  • 1. Client shall immediately notify THCLI in writing before any disclosure occurs
  • 2. Client shall provide detailed notice including the exact legal requirement, the specific information Client will be required to disclose, the exact language or testimony Client will present, the recipient, and the timeline for disclosure
  • 3. Client shall cooperate with THCLI’s efforts to seek a protective order or challenge the disclosure
  • 4. Client shall disclose only the minimum information legally required — no more
Legal compulsion to disclose does not waive Client’s confidentiality obligations or permit Client to make defamatory or disparaging statements about THCLI or Dr. Salman. Anti-defamation penalties outlined in the Confidentiality & Non-Disclosure Agreement remain fully applicable and enforceable regardless of legal compulsion.

1.6 Confidentiality Duration

  • Client organizational information and engagement findings: Confidential for five (5) years following termination or completion of the engagement
  • THCLI’s proprietary frameworks and methodologies: Confidential indefinitely (perpetual protection)

1.7 THCLI NOT Responsible for Client Employee Breaches

THCLI is responsible only for the confidentiality practices of THCLI team members and contractors. THCLI is NOT responsible for confidentiality breaches by Client’s employees, team members, or stakeholders. Client is solely responsible for controlling access to THCLI materials within Client’s organization and for managing Client’s internal confidentiality practices.

PART 2: DISCLAIMER

This Disclaimer describes the limitations of THCLI’s services and what THCLI does NOT provide.

2.2 NOT Financial or Tax Advice

THCLI does NOT provide financial planning, accounting advice, investment guidance, or tax advice.

Any observations or recommendations regarding financial matters, budgeting, cost management, or other financial topics are guidance only and should not be construed as financial or tax advice.

If you need financial or tax guidance, consult a qualified CPA, financial advisor, or tax professional. THCLI is not responsible for any financial or tax consequences resulting from recommendations.

2.3 NOT Clinical Psychology or Therapy

Dr. Nore Salman holds a Psy.D. (Doctor of Psychology) but does NOT provide clinical psychological services, psychotherapy, or mental health treatment.

THCLI’s services are coaching and advisory only, not therapy or clinical psychology. THCLI’s coaching is NOT a substitute for professional mental health care.

If you or any member of your organization requires mental health support, crisis intervention, or psychological treatment, you must consult with a licensed mental health professional, such as a licensed therapist, clinical psychologist, or psychiatrist.

THCLI is not responsible for any harm resulting from your failure to seek appropriate mental health treatment.

2.4 NO GUARANTEE OF RESULTS

  • Increased revenue or profitability
  • Improved employee engagement or retention
  • Successful leadership transitions or succession
  • Reduced organizational conflict or dysfunction
  • Achievement of Client’s specific business goals
  • Any specific outcome whatsoever

Results depend on: Client’s implementation and execution, Client’s organizational capacity, Client’s market conditions and industry dynamics, Client’s leadership commitment, and factors entirely outside THCLI’s control.

Client is solely responsible for evaluating whether recommendations are appropriate and achievable in Client’s specific circumstances.

2.5 Advisory Guidance Only

  • Evaluating recommendations for applicability
  • Consulting with appropriate professionals (legal, financial, clinical) before implementation
  • Making final decisions regarding organizational changes
  • Accepting full responsibility for the consequences of Client’s decisions and actions
THCLI does NOT make decisions for Client. Client retains complete decision-making authority and responsibility.

2.6 International and Geographic Limitations

THCLI operates from the United States. THCLI is NOT regulated or licensed in Client’s jurisdiction, state, province, or country. THCLI does NOT operate under the professional licensing, regulatory, or legal requirements of Client’s location.

Client is solely responsible for: (1) Ensuring that Client’s engagement with THCLI and implementation of recommendations complies with all laws and regulations in Client’s jurisdiction; (2) Obtaining any licenses or approvals required; and (3) Consulting with local legal and professional advisors regarding regulatory implications.

THCLI is NOT liable for any regulatory, legal, or compliance issues arising from Client’s implementation of THCLI’s recommendations in Client’s jurisdiction.

2.7 NO Third-Party Beneficiaries

THCLI’s recommendations and engagement are for Client’s benefit only. No third party — including Client’s employees, board members, investors, or stakeholders — has any rights under THCLI’s engagement agreement or this disclaimer.

Client is responsible for evaluating which recommendations, if any, to communicate to internal stakeholders.

2.8 Change Management and Organizational Impact

THCLI’s recommendations may require organizational changes, role adjustments, leadership transitions, or personnel decisions that impact Client’s employees. Client acknowledges that implementing recommendations may result in difficult organizational changes, including potential role eliminations, restructuring, or personnel transitions.

THCLI is not responsible for the impact of Client’s implementation decisions on employees or stakeholders. Client is solely responsible for managing change, supporting affected employees, and complying with all employment law requirements related to any personnel decisions.

2.9 Internal Conflict from Recommendations

THCLI’s recommendations may contradict Client’s existing policies, procedures, or cultural norms. Client is solely responsible for evaluating whether recommendations are compatible with Client’s organizational culture, existing policies, and stakeholder expectations.

If THCLI’s recommendations create internal conflict, resistance from employees, or disagreement among leadership, THCLI is not responsible for managing that conflict or addressing organizational pushback. Client is responsible for change management, stakeholder communication, and resolving internal disagreements about recommendations. THCLI is not liable for organizational conflict, employee resistance, or leadership disagreement resulting from its recommendations.

2.10 Implementation Responsibility

THCLI provides recommendations and guidance only. Client is solely responsible for implementing recommendations and determining the manner and timing of implementation.

THCLI is not responsible for Client’s failure to implement recommendations, Client’s delayed implementation, Client’s partial implementation, or Client’s incorrect implementation. If Client implements recommendations in a manner different from THCLI’s guidance, THCLI is not liable for any resulting consequences. Client’s implementation approach, execution, and outcomes are entirely Client’s responsibility.

2.11 Unpredictable External Conditions

THCLI’s recommendations are based on current organizational conditions and information available at the time of the engagement. THCLI cannot predict, anticipate, or account for future market changes, economic conditions, industry disruptions, competitive threats, or other external factors beyond THCLI’s control.

Client waives any right to claim that THCLI’s recommendations failed because of changed market conditions, economic downturns, industry disruptions, or other unforeseeable external events. Client is solely responsible for monitoring market conditions and adjusting its strategy accordingly.

2.12 Information Accuracy

THCLI’s recommendations are based solely on the information Client provides during the engagement. If Client provides inaccurate, incomplete, or misleading information, THCLI’s recommendations may be inappropriate, ineffective, or counterproductive.

Client is solely responsible for the accuracy and completeness of all information provided to THCLI. THCLI is not responsible for recommending solutions based on inaccurate Client information.

2.13 “AS-IS” Disclaimer

  • Any warranty of merchantability or fitness for a particular purpose
  • Any warranty that services will meet Client’s expectations or requirements
  • Any warranty that recommendations will be effective, appropriate, or successful
  • Any warranty that services will be error-free, uninterrupted, or secure
  • Any and all other warranties, whether stated or implied

2.14 Limitation of Liability

  • Lost profits or revenue
  • Lost business opportunity
  • Reputational harm
  • Cost of substitute services or alternatives
  • Any other damages resulting from Client’s use of or inability to use THCLI’s services

THCLI’s total liability for any claim related to services provided shall not exceed the total fees paid by Client in the preceding 12 months.

2.15 Assumption of Risk

Client assumes all risk associated with engaging THCLI’s services, using THCLI’s recommendations, implementing organizational changes based on THCLI’s guidance, and outcomes or consequences of Client’s decisions and actions.

Client enters into this engagement with full awareness that outcomes are uncertain and depend on many factors outside THCLI’s control.

PART 3: ACKNOWLEDGMENT

  • 1. You have read and understand this Confidentiality & Disclaimer page
  • 2. You understand that THCLI does NOT provide legal, financial, tax, or clinical psychology services
  • 3. You understand that THCLI makes NO guarantee of specific results or outcomes
  • 4. You understand that you are solely responsible for evaluating recommendations and consulting with appropriate professionals
  • 5. You understand THCLI’s limitations regarding confidentiality and legally compelled disclosures
  • 6. You agree to maintain confidentiality regarding THCLI’s proprietary methodologies
  • 7. You assume full responsibility for the consequences of Client’s decisions and actions
  • 8. You understand that recommendations may require difficult organizational changes and personnel decisions
  • 9. You will consult legal counsel before implementing recommendations affecting organizational structure or employment
  • 10. You understand that Client is responsible for all implementation outcomes
